I can't parse what is being said through the translation tbh. IE, I can't figure out what their excuse was for meeting with investors.

Exclusive] Min Hee-jin met with Naver and Daum, asking them to take over Ador.

It was confirmed that Min Hee-jin, CEO of Ador, contacted Naver and Upbit operator Daum to secure management rights. Naver and Daum reportedly admitted to HYBE that they met with CEO Min. As the existence of an external investor that has never been revealed until now is revealed, HYBE's argument that CEO Min has been pushing to seize management rights is expected to gain strength. So far, CEO Min has claimed, “I have never met any investors (to seize management rights of the company).”

According to the investment banking (IB) industry and legal circles on the 17th, CEO Min met with Daum Chairman Song Chi-hyung and Naver officials and proposed the acquisition of Ador. Representative Min is known to have made remarks to Chairman Song, such as “pressure HYBE to leave Ador.” Daum holds a 5.6% stake in HYBE and is the third largest shareholder with the right to elect directors.

The circumstances of CEO Min's contact with Naver and Daum were revealed during HYBE's audit of CEO Min. Previously, HYBE began an internal audit on the 22nd of last month after confirming that CEO Min had accessed and illegally downloaded trade secrets that only HYBE can manage, such as dividend details by artist and income by region. This is to confirm the so-called 'usurpation of management rights' attempt by CEO Min to attract external investors and sell HYBE's shares of Ador.

It is said that during the audit process, HYBE accessed CEO Min's PC and discovered KakaoTalk conversation logs containing CEO Min's contacts with Naver and Daum. In this document, Representative Min said, “Song Chi-hyung doesn’t even understand what I’m saying. XX” and “Naver still understands it rather well”. Previously, HYBE also disclosed a conversation history in which CEO Min responded “jackpot” to Ador’s plan to secure cash through put options and purchase shares of Ador from Hive through financial investors (FIs). .

Ador's shares are owned by HYBE (80%) and CEO Min (18%). The remaining 2% was distributed by CEO Min to two internal directors (Vice President Shin and Chief Creative Director Kim). In order for CEO Min to secure management rights to Ador, she must attract outside investors.

So far, CEO Min has been protesting, saying, “I have never met any investor to seize management rights of the company.” CEO Min also responded to HYBE's claim that they had discussed the seizure of management rights with external investors the day before, saying, "We knew that capital increase or sale was impossible without the consent of major shareholders, so we did not provide any review opinions regarding the seizure of management rights, such as capital increase or sale." “He countered.

In response to this, HYBE said, “Specific conversations with those in the investment industry cannot proceed if it was Saddam who took over management rights,” and added, “CEO Min said at a press conference on April 25, ‘Bring before me who the investors were and what they were conspiring with.’ She deceived the entire public by pretending that he had never met the investor, but the lies are being revealed one by one by evidence and facts.”

Meanwhile, on this day, the hearing on the provisional injunction filed by Representative Min to ban the exercise of voting rights is underway. The gist of the content is to prevent HYBE from exercising its voting rights on CEO Min's dismissal ahead of Ador's extraordinary general shareholders' meeting to be held at the end of this month. If the court makes a decision to grant it, HYBE, which owns 80% of Ador's shares, will be blocked from exercising its voting rights, making it impossible to dismiss CEO Min.

HYBE began to oust Min Hee Jin after she demanded an internal investigation into HYBE artists increasing first-week album sales through 'advanced purchases'

On the morning of May 17 at KST, the 50th civil court division of the Seoul Central District Court convened for a hearing in the ongoing legal dispute between HYBE Labels and CEO Min Hee Jin of ADOR. The lawsuit, filed by Min Hee Jin against HYBE, requests that the court ban HYBE from exercising its voting rights at ADOR's scheduled extraordinary shareholder's meeting later this month.

This article is continued from the earlier posts: "Legal reps exchange accusatory remarks at civil court hearing in HYBE vs. Min Hee Jin lawsuit" and "Bang Si Hyuk submits a petition letter to the court on behalf of HYBE, urging 'freedom of creativity'".

During this court hearing, Min Hee Jin's side, represented by Sejong Law Firm, revealed the full contents of an email sent by Min Hee Jin to HYBE executives in early April.

In the email, Min Hee Jin wrote, "HYBE suggested the tactic of 'advanced purchasing' 100,000 albums. The company insisted that upon the release of 'Get Up', NewJeans would be able to beat aespa in first-week sales with this tactic. However, this clearly violates ADOR's business philosophy, so I turned down the suggestion."

She then added on, "I am well aware of the fact that this tactic is pervasively used in all of the labels under HYBE. Yet, I must request a transparent investigation and proper measures in response to any cases of exchanges negotiated under the condition of returns, and other exchanges which may be seen as 'advanced purchases'."

(The 'advanced purchase' tactic mentioned by Min Hee Jin here was also cause for issue earlier this year, when some netizens raised suspicions that SM Entertainment boy group RIIZE had likely used the tactic for their debut album.)

Additionally, Min Hee Jin's email mentioned other shocking suspicions. The producer claimed that HYBE was currently negotiating payments with overseas producers over issues of plagiarism directed at LE SSERAFIM, and that HYBE's brand partnership department went behind ADOR's back to secure a brand endorsement deal for LE SSERAFIM with a brand which initially wished to work with NewJeans.

Read Min Hee Jin's complaint email to HYBE, calling out the underhanded 'advanced purchase' tactic

A portion of Min Hee Jin's complain email sent to HYBE executives, recently revealed during a court hearing held on May 17 KST, can be found below.

This article is continued from the earlier post: "HYBE began to oust Min Hee Jin after she demanded an internal investigation into HYBE artists increasing first-week album sales through 'advanced purchases'".

This portion of the email deals with the issue of HYBE's 'advanced purchase' tactics, the HYBE-UMG distribution contract, and the conflict between NewJeans and LE SSERAFIM over a luxury brand endorsement deal.

"Addressed to the executives of HYBE.
On April 3, 2024, ADOR forwarded a request to HYBE / BeLift Lab, demanding a statement and correction over the issue of ILLIT copying NewJeans, thereby damaging NewJeans' brand value.

The issue of ILLIT copying NewJeans is but one of a vast number of issues between NewJeans and HYBE which occurred over the years. Finding the discrimination, mistreatment, and interference committed against NewJeans by HYBE to be at an unbearable point, the legal representatives of NewJeans pleaded with ADOR to contact HYBE and correct these issues. As a result, as the management company of NewJeans, ADOR offers the following statement on behalf of the group's legal representatives.

An email involving the earlier issue of copying was sent to both BeLift Lab and HYBE. However, BeLift Lab has yet to respond with any answer other than that it is currently preparing a statement, and HYBE has yet to respond at all. We are waiting for HYBE's answer. Not only the earlier issue, but the contents of this email as well concerns more than just ADOR / NewJeans; these issues deal with the ethical and sustainable management practices of HYBE more broadly, and so we forward this statement to the executives of HYBE.

The biggest problem with HYBE is that it is imitating all of the outdated, ill customs of this industry with no acknowledgement of the immorality of these practices. It refuses to fulfill its full responsibilities as a representative company in the entertainment industry, and its management system lacks transparency to the point that direct and indirect damages against NewJeans continue to build up each day.

1. The most representative example is HYBE's 'advanced purchase' tactic.
'Advanced purchases' are when companies inflate the sales of an album and contribute to 'first-week sales' records by placing bulk orders of albums in advance with distributors and foreign labels, then fill the quota through fan events.
This creates false records and makes it seem as if a group that is no longer growing is continuously growing, disturbing the practices of a fair market.
The harmful impacts of this tactic on the stock market are even more severe, seriously exaggerating a company's and/or an industry's potential for growth and prospects.

These tactics have already drawn strong criticism from the public as a tactic that deceives shareholders, employees, the market, and fans. If these tactics continue, it will eventually dry out the entertainment industry from its roots. And to see HYBE, a leader in the entertainment industry, participating in these 'advanced purchase' tactics while taking advance of a blind spot in current regulations, it must be said that this is a serious problem.

NewJeans previously received an offer to use this 'advanced purchase' tactic.
HYBE suggested the tactic of 'advanced purchasing' 100,000 albums. The company insisted that upon the release of 'Get Up', NewJeans would be able to beat aespa in first-week sales with this tactic. However, this clearly violates ADOR's business philosophy, so the suggestion was turned down.
The primary reason that ADOR turned this suggestion down was that participating in such an act would mean degrading the pure records and #1 achievements that NewJeans has fulfilled until now, and that it would lead to diminished opportunities for collaboration with various partner businesses.

If this issue of 'advanced purchases' garners greater attention from the public, it could lead to people misunderstanding that NewJeans uses this tactic, just because NewJeans is affiliated with HYBE. As a result, ADOR intends on preventing any misunderstandings from arising, because NewJeans does not use sneaky schemes for achieve results. Even without such tactics, NewJeans has achieved outstanding results, so to have anyone undervalue these achievements is in itself severe mockery.

It would be a serious problem if the belief that musicians can succeed without cheating, with music and performance alone, were shattered because of this issue. It would be an act that undermines the vision of this market.

This tactic was suggested to a group such as NewJeans, who are capable of great results without help from underhanded measures, so we wonder how much the same tactic is being abused by other artists.

It goes to show that HYBE seriously lacks ethical consciousness.

We are well aware of the fact that this tactic is in fact pervasively used in all of the labels under HYBE. Yet, we must request a transparent investigation and proper measures in response to any cases of exchanges negotiated under the condition of future returns, and other exchanges which may be seen as 'advanced purchases'.

2. HYBE suggests that all labels select the best partnerships in distribution, business, and services through fair competition with one another.
However, recently, HYBE signed a 10-year exclusive distribution contract with UMG, which severely limits NewJeans' activities. In the short term, this contract is meant to reduce the cost of distribution fees, but in truth, it is irrational for a rapidly growing artist like NewJeans to distribute exclusively through one distributor for such a long period as 10 years. The HYBE-UMG contract has cut off NewJeans from any opportunities to seek distribution partners whom NewJeans might be able to negotiate better fees and conditions.

Not to mention, even if the distribution fee was reduced, from the perspective of the label, we pay almost the same amount in distribution fees to HYBE on top of the fee paid to UMG, so we can't help but feel that it is deception. No matter what outstanding results NewJeans achieve in the future, they must continue to pay hefty distribution fees for the next 10 years.

Furthermore, the services provided by UMG and affiliated companies does not meet the expectations of ADOR.

For the next 10 years, ADOR must distribute through UMG even if the distributor fails to improve its subpar services. This long term contract presents no incentives for UMG to improve the quality of its services and further interferes in NewJeans' competitive power overseas.

We have no doubt that NewJeans was a good card to play during the negotiation with UMG. And yet, NewJeans reaped no benefits from this deal.
3. HYBE does not prioritize the advancement of its label management system, when this should be it's main job.

Currently, all labels under HYBE must work with HYBE for merchandise production, performance production, advertisement contracts, and distribution contracts, regardless of the quality of the services offered.

On several occasions, ADOR felt that HYBE's capabilities did not meet ADOR's expectations, and so to produce higher quality performances, advertisements, and merchandise, ADOR had no choice but to seek our resources from the outside. But working out the kinks with HYBE's internal forces was no easy matter either.

For example, thanks to the explosive popularity NewJeans experienced immediately after debut, advertisement offers flooded in to the point that NewJeans did not need to promote themselves separately in order to secure advertisement deals. However, due to problems caused by HBYE's brand synergy department, in charge of advertisement contracts, the label and the advertisers were often forced to deal with unnecessary conflict.

Each time, ADOR raised an issue, but saw no improvements, until eventually, a grave mistake occurred. An overseas luxury brand, which had approached NewJeans for an endorsement deal, ran into contradictions when LE SSERAFIM approached them for a new deal, and during this process, HYBE brand synergy team lied to both ADOR and the overseas brand.

The brand synergy team should be treating ADOR and Source Music equally. However, the team seemed to be biased toward one artist over the other, and even then, it was only after ADOR's complaint that the contract was fulfilled after a refund was processed for a 3-month period.
Of course, it was the label that had to clean up the misunderstandings with the advertiser in person.

In 2023, NewJeans achieved unprecedented results in just under 2 years, results never-before-seen in the roughly 30-year history of the entertainment industry. And yet, HYBE's public relations department rarely made attempts to publicize the overwhelming achievements of NewJeans. Rather, ADOR often had to ask for corrections to press releases, after discovering biased wording in the script."

Later portions of the email also contained complaints against HYBE's infrastructure, biased promotional and marketing tactics, and further details of Min Hee Jin's frustration over ILLIT's concept and marketing strategy.

Judge Reportedly Orders HYBE To “Stick To Legal Facts” After Label Unloads Barrage Of New Allegations

A judge has reportedly ordered HYBE‘s lawyers to stop making hearsay allegations.

On May 17, the first day of hearing for Min Hee Jin‘s injunction against HYBE took place at Seoul’s Central District Court.

On this day, HYBE’s lawyers reportedly made several allegations against Min Hee Jin, including allegations that Min Hee Jin had allegedly badmouthed NewJeans and that Min Hee Jin was using a shaman to make decisions.

In response, the judge is said to have scolded HYBE’s lawyers and ordered them to “Speak about legal facts.” The judge then asked for evidence supporting HYBE’s claims surrounding shareholder rights, to which HYBE responded by citing a lack of legal precedent.

“Gaslighting, Manipulation, Shaminism” — All You Need To Know From Min Hee Jin And HYBE’s Explosive First Day In Court

Min Hee Jin‘s first day in court in her injunction hearing against HYBE has come to a close.

On May 17, Seoul’s Central District Court held a hearing for Min Hee Jin’s injunction against HYBE. Previously, Min Hee Jin filed the injunction after HYBE asked her to step down from her role as ADOR’s CEO.

On this day, HYBE levied a barrage of new allegations against Min Hee Jin, while the ADOR CEO hit back with damning accusations of her own. The most shocking claims are listed below.

1. HYBE Alleges Min Hee Jin Gaslighted NewJeans
During the hearing, HYBE alleged that Min Hee Jin’s motherly figure was all a facade. The agency claimed that Min Hee Jin hated working with NewJeans and had on several occasions claimed that the members were mentally weak and shouldn’t be treated as artists. The agency goes on to claim that Min Hee Jin gaslighted the members and wanted them to be submissive to her.

It is notable that HYBE didn’t provide acceptable evidence to their claims. The agency did however offer alleged text messages, which release was successfully objected by ADOR.

2. HYBE Claims Min Hee Jin Adheres To Shamanism — Relies On A Shaman To Make Decisions
HYBE then went on to claim that Min Hee Jin overly relied on a shaman. According to the label, NewJeans debuted after LE SSERAFIM not because Bang Si Hyuk had broken his promise but because Min Hee Jin had consulted with a shaman and chose a later debut date.

ADOR rejected all claims as ridiculous. HYBE did not provide any evidence for their claims.

3. Judge Scolds HYBE, Directs Label To Stick To Legal Facts
According to reports, after HYBE made its claims about Min Hee Jin’s alleged adherence to shaminsim, the judge admonished the label and ordered them to stick to legal facts. When asked for evidence supporting HYBE’s claims surrounding their shareholder agreement and voting rights, HYBE’s lawyers cited a lack of legal precedent.

4. HYBE Claims Min Hee Jin Had Met With Outside Investors To Free ADOR From HYBE
Reports state that HYBE’s lawyers claimed that Min Hee Jin had met with several investors, venture capitalist firms, and outside analysts to plot a takeover of HYBE. According to HYBE, Min Hee Jin had also asked for the right to terminate NewJeans’ exclusive contract with ADOR.

5. Min Hee Jin’s Internal Complaint Was About HYBE’s Bulk-Buying Albums To Manipulate Charts
Most damning on this day was Min Hee Jin’s claims that she had refused HYBE’s suggestion to bulk buy NewJeans’ albums. According to Min Hee Jin’s lawyers, the tactic was suggested to Min Hee Jin by HYBE, and Min Hee Jin’s refusal sparked conflict. In a statement, Min Hee Jin blasted HYBE for failing to take social responsibility as the CEO of an entertainment company and claimed that the company’s “Immoral actions” were hurting NewJeans.

HYBE has since released a previous email sent to Min Hee Jin in which it writes that HYBE does not participate in bulk buying and asks her to refrain from making unfounded accusations.

6. HYBE Is Negotiating A Settlement To NewJeans’ Producers For LE SSERAFIM And ILLIT’s Plagiarism
News outlets reported that foreign producers working with ADOR are currently in discussions with HYBE to compensate for plagiarism committed by LE SSERAFIM and ILLIT.

7. HYBE Tried To Sabotage NewJeans Sponsorship With Famous Luxury Brand, Favored Another Group Over NewJeans
During the trial, it was reported that HYBE had told different lies to ADOR and a famous designer house over its sponsorship. According to ADOR, HYBE’s internal Brand Synergy Team had been caught favoring an artist/group over NewJeans, and only then was ADOR able to close the deal.

8. HYBE Accused Of Favoring Other Artists Over NewJeans
Throughout the hearing ADOR maintained its claim that HYBE favored artists over NewJeans. ADOR provided examples of HYBE’s favoritism towards groups such as LE SSERAFIM and ILLIT, including ILLIT’s upcoming appearance on JTBC’s Knowing Bros on the same week as NewJeans’ upcoming album.

9. Who Are NewJeans Supporting?

If the investor stuff is true, her goose is truly cooked. I don't understand why HYBE keeps blabbing about other stuff when they have the smoking gun right there. I can sympathise with the judge lollol

The bulk buying thing is juicy, innit? Did she provide proof...

but that's not the most damning thing there's also allegations of MHJ hiding/protecting a sexual predator and being very disingenuous towards NJ

I can see the text messages but I'm not sure if I can believe them, because if HYBE were not allowed to present them, how did they get out there?
Well, I suppose they could have leaked them deliberately, which is low af... I dunno. I wonder if a legit news company will take them and question MHJ on them

I can see the text messages but I'm not sure if I can believe them, because if HYBE were not allowed to present them, how did they get out there?
Well, I suppose they could have leaked them deliberately, which is low af... I dunno. I wonder if a legit news company will take them and question MHJ on them

The chat records were rejected as evidence and were not seen by anyone outside the legal parties and the judge, from my understanding.

I'm not 100% sure if they were accepted as evidence but the question is whether it's true or not...
I mean maybe the chat records have no bearing in regards to the shareholders meeting case so that's why it was rejected

The point is, we hear reports of evidence from text messages being rejected from court - and hence, were not actually seen outside of the core people involved in the case, and then some youtuber starts presenting them on his channel (at least, that's my understanding of where these came from).

Which obviously raises questions about their authenticity, because it is very plausible that Some Youtuber would just make something up based on the fact that evidence got rejected in court.
I'm not saying that is what happened. But it's possible, and so the texts should be approached with caution imo. At least until a news site that has some reputation to it puts its name to it. The argument that, "He wouldn't make it up because he'll get sued for defamation" doesn't hold for me because k-pop fans are constantly making things up and getting sued for defamation.

If they are real, then they were deliberately leaked by HYBE, who wanted to get them out there irrespective of whether they were material to any case, and irrespective of any judge's decision on whether they material to any case.
