Strong disagree here.

Firstly, it isn't "rent" as far as I can tell but a down payment, or a deposit. IE, it is not a regular monthly expense, but a one-off expense that would have to be fortuitously timed as an alibi. Totally inconceivable.

Secondly, the "insider information", according to HYBE, is their intention to make public a dispute. I made a whole post about the difficulty in proving this intention, but let's be concrete about it:
From HYBE's statement:

The problem: Ador did not report anything to the Fair Trade Commission. And still hasn't.
It could be argued that the idea was just floated. Many ideas get floated. It doesn't even need to have been explicitly rejected. The question is, were steps taken in the direction of the plan?
I can't attack someone in self-defence just because they told another person that they were going to punch me. They have to take the swing.
I once had a boss say to me, "If you do X, I will kill you." Literally their exact words, and it was genuinely meant to deter me from doing X, and it was genuinely said out of anger. That doesn't mean I can report them for attempted murder. Now, if they went and bought a gun, then maybe.
you could report them for just the threat. hostile work environment ect.

I think the line on stock manipulation/insider trading is much more fluid. If ppl can go down for just mentioning to someone that now may be a good time to sell.
a discussion about ramifications of possible actions is relevant especially if said actions happen.

other thing is did they have to have that money especially to pay for what ever it was unexpectedly.

I think there is a case to be made.
hey the stock price will go down when this happens we need to pay for this widget lets sell its totally random....

companies buy and sell their own stock all teh time but fortuitous sales always ping the radar.

I think the crux of the issue is why the audit was made public in the first place
defensive measures can be taken, and aggressive ones at that too (see: mannesmann on vodafone is an s-tier example of that, though it ultimately failed), but apart from stirring up public opinion and maybe plant some seeds of shareholder doubt against mhj/ador, it had very little actual function
Right. The suggestion seems to be,
"HYBE thought Ador would make it public, so they went first"

But that's like saying, "I thought you were going to punch me in the face, so I punched myself there first."

I've seen it suggested that they had to disclose for legal reasons. Different countries have different disclosure requirements, but none of them require you to itemise your dirty laundry for public inspection.
For example, in this instance, they could have said,

"During the process of our audit, we discovered irregular stock trades made by an employee of Ador. As part of our corporate governance policy, we have reported these irregularities to the [sec] for further investigation"

That's the statement a normal company would give. You only present evidence in court, or to authorities, not to the press. Unless your goal is to actually win some kind of PR battle. This has been a consistent theme. But by making it public, they guaranteed reputational damage to themselves either way. Instead of taking the chance that MHJ might keep quiet.
(for the record, I don't think she would keep quiet, but if I was an exec at HYBE, I would be keeping in mind my duty to shareholders and I wouldn't be the one to explode the bomb)

a discussion about ramifications of possible actions is relevant especially if said actions happen.
But that's the point. The actions didn't happen. In fact, they still haven't happened - there still isn't a complaint made to the Fair Trade Comission. The stock price did go down, but not for the reasons discussed. They went down because of HYBE's actions. And HYBE's actions were designed to come as a surprise to Ador. The VP couldn't have known that:
1. HYBE would do an audit
2. HYBE would publicly announce the audit
3. That all of this would happen within two weeks

EVEN IF we say that the statements made in the Kakaotalk conversations were 100% serious and they were planning on reporting HYBE to the Fair Trade Commission, knowing that it would tank the stock... How do we know that they intended to do it in the timeframe that the VP would have benefited from his sold stock? Maybe they were going to do it in a year. Maybe they were going to do it near NewJeans' contract renewal. etc.

i think the broader context is ador was planning to go to war with Hybe.
Hybe found out and launched a pre-emptive attack starting with audit.

Both sides will spin who is the foundation of the conflict, but that ador were preparing for conflict is pretty clear from both side snippets.

Legal battle aside it appears it got personal. to me on both sides.

For example reports said hey nj and ill are not family. nj got plenty of family help mv placement ect from hybe .

Hybe had that whole tv game retreat with all teh ppl but nj if remember (maybe they had not debut)

Hybe seems much more involved in teh sub companies than say SM.
Cant remember SM ever having issues with say Woollim or Mystic.

I think the important thing to remember though is that the main battleground is in the court of public opinion. For some reason. I don't understand what either side hopes to gain by having the public on "their side", but that's clearly the driving force for a lot of what is happening.

I mean, it's definitely how I wouldn't handle it (which is to say, as quietly as possible).

And as you say it's gotten personal, which it absolutely shouldn't do when this amount of money is at stake. imo, HYBE made an extremely stupid move in giving MHJ the CEO position at Ador. In her own words, they did this after she swore at them and threatened to call a press conference with her grievances. She already advertised the kind of person she was, and that is not a person who is suitable for that position.
But it's also telling that BSH hasn't denied the claim that he and MHJ haven't spoken for like a year. They haven't left open any avenues to resolve this conflict other than full blown war which will inevitably damage everyone.

It's genuinely fascinating to see this kind of immature, childish behaviour from corporate entities.

Totally true.
the PR battle is crazy and pretty pointless.

As bad as SM is now it looks like they dodged a bullet. and i was for Hybe trying.
Looks like i was very wrong. Maybe creative ppl should not be in charge of kpop lol.

That LSM, JYP and YG kept it together so long maybe does speak for them

apparently he suffers from facial recognition blindness or at least that's the claim lol
And apparently deaf too
He may have face-blindness but pretty sure the members announced themselves while greeting him so if he ignore them is bc he wanted.
There is no way he dont know who NJ is or heard the group name before even if he barely meet the members.

Anyway i was watching this and it explained well why knetz are on MHJ side in comparison to many international fans that are on HYBE side:

around 5:52 it's pointed out that HYBE is accusing her of everything but is refusing to comment about the fact he was stealing her ideas and concepts. so weird that of everything he tried to clarify why he never touched on that matter?

The only thing i felt that they didn't mentioned much was HYBE accusations. I haven't seen what knetz think of those accusations but then again to me it feels HYBE actually have no proves to the things they are accusing her.
if they really had smth on her they would had taken her to the court quietly instead of doing at smear campaign against her which clearly backfired on them.
Hybe never needed the "public court" to be on their side bc if the real court proved they are the ones right on this mess, the public would end up on Hybe side. Now the things are more complicated and even if they win, their reputation is already too tarnished

Well I'd believe that if he or BTS have at least alluded to something like that before like BTS saying he'd greet someone with the wrong name or something otherwise that's way too convenient. Assuming it's true though then shouldn't he just be greeting people anyway? Especially a group of 5 people since in an environment like Hybe are 5 people on the office side really walking around that often that you wouldn't believe it's one of your idol groups? :umwhat:
he confused illit for NJ
oops I meant LSFM
oops I meant TXT

At this point hybe should stop debuting 5 member groups so as to not confuse BSH!!!

I mean she did say she didn’t want to follow lsm and be pushed into a bigger director role at sm… thank god chris lee didn’t follow his uncle in that plan
it’s funny because in the beattitude interview she said she didn’t really want to be a ceo or lead a label which is a big reason why she followed the bighit headhunter into the company instead of starting her own
she’s perhaps well suited for top creative positions but not management

It's interesting, I always assumed LSM was extremely controlling, but he managed to have MHJ working for him for years without any public blow-ups. I can imagine that Yoo Young-jin and Kenzie also commanded a lot of clout without that causing an issue.
Was I wrong about him???

I think he was good at long term planning small details and getting ppl to work together.
The very stark contrast in the type and frequency of sm artist interactions speaks to his culture.
for all the chatter about SM being very corporate. the Idols seem to actually know and interact much more often that other agencies.
And tehy appear to be close to staff for real showing up at weddings ect.

mhj may of had some budget constraints (eg she financed the pink tape art film herself iirc) but she was essentially given free reigns during her time at sm, and you see many of their idols speak fondly of lsm too, han geng stands out among them
he had a vision, and I think he did go a bit crazy near the end, but he was good enough with getting the right people to make it work for the most part

Ador "HYBE should honestly say that he didn't like Min Hee-jin" [Official] (Full text)

Ador has issued a statement regarding HYBE's claim that an analyst arranged a meeting between Ador executives and foreign investors.

Ador distributed an official statement on the 16th, saying, "We hope that HYBE will stop raising suspicions about people around CEO Min Hee-jin and writing novels based on imagination."

In addition, HYBE revealed the facts related to the fact that 'Analyst A arranged a meeting between Ador management and foreign investors' and said, "The reason that CEO Min Hee-jin received a review related to the shareholder agreement from Analyst A was because of CEO Ji-won Park's “I followed the recommendation,” she claimed.

In addition, Ador said, "HYBE is unable to find evidence for Min Hee-jin's dismissal, so it is trying to stir up public opinion in a dust-up style to defend the above lawsuit. The cavil-making and wasteful public opinion warfare ahead of the court battle are a negative image for CEO Min Hee-jin. “It appears to be nothing more than an intention to criticize,” he said, raising his voice.

▲The full text of Adore’s official position is below.

HYBE, please stop raising suspicions about people around CEO Min Hee-jin and writing novels based on imagination.

1. We reveal the facts related to HYBE’s claim that “Analyst A arranged a meeting between Ador management and foreign investors.”

Because the analyst in question also knew that capital increase or sale was impossible without the consent of major shareholders, he did not provide any review opinions related to any seizing of management rights, such as capital increase or sale.

In the case of the meeting covered in the article, it was 'a meeting of multiple listed/unlisted companies to attract domestic K-culture investment' conducted by Analyst A. It was just one of the schedules of the program, which included experiencing the growth prospects of various Korean Wave companies and industries, including not only K-pop, but also 7-8 dramas and games, and visiting delicious restaurants in Seoul. Ador's vice-president had lunch together ahead of the HYBE meeting, but it is clearly false to present it as if it was a separate investor meeting to sell Ador.

The conversation at the meal was a general conversation based on Ador's publicly announced 2023 performance, and there was no talk of 'capital increase' or 'sale' at all. It was not even a topic to discuss because everyone knew that HYBE had an 80% stake and had no separate investment method for Ador. In order to understand market trends, we discussed how much Ador is worth, but in the following KakaoTalk content that HYBE did not disclose, it immediately said, "I don't think it will be difficult for the value to rise 2-3 times with the growth of New Jeans and the release of a boy band in the future, but the problem is. It was not a serious review or negotiation, as it led to a conversation of "there is no way to invest."

If you read the context, this conversation proves what everyone knows: the usurpation of management rights claimed by HYBE cannot even be attempted. In addition, at the time of the conversation, on April 17th, just 5 days before HYBE's audit, we can see that he was looking forward to the growth of New Jeans and the future boy group, but it is claimed that he encouraged the termination of the contract. What kind of nonsense is it that the circumstances of the usurpation of management rights have been discovered? And if you have seen the entire conversation, you will be able to easily guess what HYBE's intentions are when it comes to playing media like this, while still understanding the context.

The contents of the text message that the Vice President reported to Representative Min after the meeting. / Adore

The contents of the text message that the Vice President reported to Representative Min after the meeting.

Surprisingly, Analyst A even revealed that he had a meal with Ador's vice-president during a meeting with HYBE IR's Team Leader K and CEO Park Ji-won that took place in the afternoon after the meal. In this way, even in private dinners where there are no problems in terms of procedure or content, absurd things are committed every day that turn into extremely impure things after the fact just by adding the words 'usurpation of management rights' or 'audit'. Analyst A is also an innocent member of the public.

2. CEO Min Hee-jin received a review of the shareholder agreement from Analyst A in accordance with CEO Park Ji-won's recommendation.

On December 9, 2023, while discussing the contents of the shareholder contract in a KakaoTalk conversation with CEO Min Hee-jin, CEO Park Ji-won said, "If you don't believe that, work with that person," "I won't stop you," "You can make your own decision." ", and recommended that if you do not believe in yourself, you should review the appropriate multiple through an external advisor.

23.12.09 Sat

Jiwon: If you don’t believe that, work with that PE guy.

Jiwon: I won’t stop you (12:28 a.m.)

Jiwon: Make your own decision (12:34 a.m.)

Representative Min could no longer trust the words and actions of CEO Park Ji-won, who had changed his words several times, and in a situation where there was a conflict of interest between HYBE and the label, Ador did not have its own legal and financial organization to review it, so he, a long-time acquaintance, I asked Mr. A to review the contract.

A general opinion based on publicly available information, such as “What is the appropriate multiple based on Ador’s growth and market evaluation?” and “What justification is needed to make HYBE accept the negotiation plan?” This is nothing more than negotiation advice from and is far from a leak of confidential information or important trade secrets.

In fact, if you look at the article published by HYBE, Analyst A advised, “You can proceed with the goal of reaching a 20x agreement in the final negotiations.” However, having received this advice at the recommendation of CEO Park Ji-won, he has now raised the issue. What is my purpose? Does this mean that it may or may not be a problem depending on the CEO's mood?

Regarding the shareholder contract, CEO Park Ji-won emphasized that the contract signing date was tight (there was only 2-3 days left for the review date) and that CEO Park himself was not the type to betray, saying, “Just trust me, Hee-jin.” “I won’t do anything bad to you.” He encouraged me to trust his words and sign. In fact, at the time, it was thought that a relationship of trust was formed with CEO Park due to the intersection of each other's complaints about HYBE, and CEO Min also revealed that she needed help with compensation and contract details, so it was difficult to doubt CEO Park Ji-won's words. It was an impossible situation. Rather, from Representative Min's perspective, she even thought that Representative Park was working hard on behalf of HYBE, who secretly ostracized her, and even thanked Representative Park for his concern at the time.

However, about a year later, I accidentally discovered a fatal contradiction in the contract and a problem that led to a lifetime ban on competition. I was very surprised and immediately pointed this out, but CEO Park consistently made excuses and pretexts such as 'I don't read the contract'. In addition, the explanation of the call option was different from the contract, which caused a crack in the trust relationship I had believed in, and I felt betrayed. In a situation like this, who could resist seriously reexamining the contract?

23.12.12 Tue

Min Hee-jin: And who took the lead and who showed condescension (7:38 p.m.)

Jiwon: If you really thought I was pranking you, I would have called (7:38 p.m.)

Min Hee-jin: You were clever by mixing loyalty and affection.

Min Hee-jin: Discovered a year later (7:39 p.m.)

Jiwon: What are you talking about?

Jiwon: Ha (7:39 PM)

Min Hee-jin: What you are saying is what you are saying right now.

Min Hee-jin: Ha. That’s what I’m going to say.

Min Hee-jin: Either call a third-party law firm and have fair negotiations (7:39 p.m.)

Heejin Min: I don’t like excessive values either.

Heejin Min: I just want to proceed fairly.

Heejin Min: Now I feel skeptical (7:40 PM)

23.12.12 Tue

Min Hee-jin: If that's really the case, why didn't you include it in the first place? Article 4 governs all transfers and transfers (8:49 p.m.)

Jiwon: I saw the contract for the first time this morning, because I don’t read all contracts. (8:50 p.m.)

Min Hee-jin: I guess OO had that intention.

Heejin Min: Then

Min Hee-jin: To me without even looking at the contract (8:50 p.m.)

Min Hee-jin: Are you telling me to trust you?

Heejin Min: This is ridiculous (8:51 PM)

Jiwon: Isn’t that the main condition? (8:51 PM)

23.12.12 Tue

Heejin Min: Okay (9:22 PM)

Min Hee-jin: Believe it

Min Hee-jin: No.

Heejin Min: Get a legal review (9:23 p.m.)

Jiwon: Because OO wrote it together. (9:23 p.m.)

Heejin Min: I should have done it.

Heejin Min: Trust me (9:23 PM)

Jiwon: I summarized all the main conditions and gave them to you (9:23 p.m.)

Min Hee-jin: I paid 13 times better.

Min Hee-jin: It’s not Evita, what about Evita?

Min Hee-jin: A loud explosion

Heejin Min: So I found everything (9:23 PM)

3. HYBE should honestly say that he didn’t like Min Hee-jin.

Looking at the current situation, it is clear that HYBE's first goal is to dismiss CEO Min Hee-jin and at the same time destroy her trust and bury her socially. At first, they attacked CEO Min Hee-jin, but now they are trying to make issues that should not be a problem and attacking those around them, instilling fear in the people involved as if they are predicting that they will suffer one after another.

Regarding the recent decline in HYBE's stock price for various reasons, HYBE's management has not said a single word acknowledging their responsibility, but rather is framing it as being due to Ador. I hope Ador has helped HYBE's business performance, but has it ever made a loss?

What kind of breach of trust did CEO Min Hee-jin commit to Ador as its CEO? Are you saying that you committed a breach of trust and achieved ‘the shortest and highest performance in two years in the 30-year history of the industry’?

If the problem is that they expressed their dissatisfaction with HYBE, does that mean that it was not only Representative Min who was dissatisfied with HYBE, but all of them are the problem? If there's a problem with the company, it's natural to be dissatisfied and make improvements, but you can't even express it? CEO Park Ji-won also expressed his dissatisfaction with HYBE to CEO Min Hee-jin and in a meeting with his outsiders. Are you saying that the complaints expressed by Representative Park are okay, and the complaints expressed by Representative Min are a traitorous plot?

HYBE's claim that "CEO Min made claims about HYBE with content similar to Mr. A's advice, and as these content became an issue and HYBE's stock price fell," is an absurd claim no matter who hears it. And they keep trying to shift the blame for the decline in stock prices to other places. Why do the people who started the surprise audit and announced it widely to the media keep trying to shift responsibility to other places?

Vice President L has been at Ador for a little over three months. Expressing Vice President L as 'Min Hee-jin's right hand man' is a childish and unnecessary statement that appeals to an extremely emotional imagination without any basis, and is an expression that accurately reveals Hive's intention to be a leader.

Since age-old conflicts did not occur all at once, it is natural that they involve layers upon layers. Putting aside that context, the act of editing and extracting content to suit one's own taste is extremely petty and constitutes false information.

I would also like to report Hive to the audit committee. The reason I filed a whistleblowing was because there were a lot of things that needed to be improved in HYBE. I know HYBE is sensitive to that. As a result, we do not feel it is worthwhile to respond one by one to HYBE's imaginary claims, which are waging a war of public opinion with a series of unnecessary and out-of-the-box issues, as well as the contradictions in the suspicion of the takeover of management rights, which are not established from the beginning. However, in the position of having to refute, it is wasteful to have to issue a statement, but since HYBE is inevitably overwhelming in the amount distributed to the media, I feel deprived and continue to interfere with Ador's work physically and mentally. It is true.

The evidence that HYBE has is nothing more than a KakaoTalk conversation that was obtained by surprise and coercion and whose use consent has now been withdrawn. Looking at the context, you can see that it is sufficiently rebuttable, but I don't understand why they lie through editing.

The lawsuit was filed because HYBE violated the shareholder agreement and requested to convene an extraordinary general meeting of shareholders to dismiss Min Hee-jin. As HYBE was unable to find evidence of Min Hee-jin's dismissal, they are using duster-style public opinion agitation to defend the above lawsuit. The nitpicking and wasteful public opinion campaign ahead of the court battle appear to be nothing more than an intention to cast a negative image on CEO Min Hee-jin.

HYBE refutes, “Min Hee-jin deceived the entire nation as if she had never met an investor” [Official statement]

HYBE strongly criticized Ador CEO Min Hee-jin, saying she “deceived the entire nation.”

In reaction to Ador's lengthy official statement on May 16th, saying, "There was no conspiracy to attempt to seize CEO Min Hee-jin's management rights," HYBE also issued an official statement on the morning of the same day, saying, "There was no such specific contact with investment industry professionals." He refuted.

He continued, "CEO Min deceived the entire nation by saying at a press conference on April 25th, 'Bring me before me to find out who the investor was and what kind of scheme he was conspiring with,' and deceived the entire nation as if she had never met the investor. However, the lies are being revealed one by one by evidence and facts. “We hope that everything will be clear to the investigative agencies and the court,” he said.

In addition, he said, “We strongly urge CEO Min not to use the expression ‘Ador’s side’ when announcing her position to the outside,” adding, “This takeover of management rights is partly due to CEO Min’s personal greed and has nothing to do with the company called Ador.” “It was an incident caused by ‘Min Hee-jin’s side,’ with the participation of management,” he said.

Previously, in response to reports that CEO Min Hee-jin had a meeting with Analyst A, Ador said, "It was a 'meeting with a number of listed/unlisted companies to attract investment in domestic K-culture' conducted by Analyst A. Not only K-pop, but also 7-8 companies. “It was just one of the schedules of the program, which included experiencing the growth prospects of various Korean Wave companies and industries such as dramas and games, and visiting delicious restaurants in Seoul,” he said. “The Vice President of Ador had lunch together ahead of the HYBE meeting, and it was as if he was selling Ador. “It is clearly false to present it as a separate investor meeting for ,” he said in an official statement.

In addition, he said, "The analyst in question also knew that capital increase or sale was impossible without the consent of major shareholders, so he did not provide any review opinions related to any takeover of management rights, such as capital increase or sale."
